Terms & Conditions

Please read these terms carefully before placing an order or using our wholesale services.

1. Definitions

In these Terms & Conditions, the following definitions apply:

  • "Company", "we", "us", "our" refers to Prime & Global B.V., a private limited liability company registered in the Netherlands, with its registered office at Keizersgracht 555, 1017 DR Amsterdam (KVK: 12345678, VAT: NL123456789B01).
  • "Client", "you", "your" refers to any business entity, organization, or individual acting in a professional capacity that registers for an account, places an order, or otherwise engages with our services.
  • "Products" refers to all goods available through our wholesale distribution services, including but not limited to food, beverages, household items, cosmetics, and other FMCG products.
  • "Order" refers to any request to purchase Products placed through our website, email, phone, or account manager.
  • "Services" refers to the wholesale distribution, logistics, and related services provided by the Company.

2. Account Registration

2.1. To place wholesale orders, you must register for a business account by providing accurate and complete information about your company, including your business registration number, VAT identification number (where applicable), and a valid business address.

2.2. We reserve the right to verify your business credentials and may request additional documentation, such as trade licenses, import permits, or references, before approving your account.

2.3. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use.

2.4. We reserve the right to suspend or terminate accounts that provide false information, violate these Terms, or engage in fraudulent activity.

3. Orders & Payment

3.1. All Orders are subject to acceptance by us. We reserve the right to refuse or cancel any Order at our discretion, including but not limited to cases of pricing errors, product unavailability, or suspected fraud.

3.2. Prices are quoted in US Dollars (USD) unless otherwise agreed in writing. Prices are exclusive of shipping costs, import duties, taxes, and any other fees unless explicitly stated. We reserve the right to adjust prices at any time; however, confirmed Orders will be honored at the price quoted at the time of confirmation.

3.3. Payment terms are determined by your account tier:

  • Starter tier: Payment is required in full prior to dispatch or cash on delivery, as agreed.
  • Business tier: NET 30 payment terms from the date of invoice.
  • Enterprise tier: NET 60 payment terms from the date of invoice.

3.4. We accept payment by bank transfer (SWIFT/SEPA), credit card (Visa, Mastercard, American Express), and PayPal. Other payment methods may be available upon request.

3.5. Late payments will incur interest at a rate of 1.5% per month (or the maximum rate permitted by law, whichever is lower) on the outstanding balance, calculated from the due date until full payment is received.

3.6. Minimum order values apply as follows: the overall minimum order value is $500. Category-specific minimum quantities are detailed on our Wholesale Program page and may be updated from time to time.

4. Shipping & Delivery

4.1. We ship Products from our distribution facilities in Amsterdam, Netherlands, to destinations worldwide. Delivery timelines are estimates only and are not guaranteed. We shall not be liable for delays caused by circumstances beyond our reasonable control, including but not limited to carrier delays, customs processing, weather events, port congestion, or force majeure.

4.2. Risk of loss and damage passes to you upon delivery of the Products to the carrier at our distribution facility (Ex Works Amsterdam, Incoterms 2020), unless otherwise agreed in writing.

4.3. Orders with a value exceeding $5,000 qualify for free standard shipping. Express and custom freight options are quoted separately.

4.4. You are solely responsible for all import duties, taxes, customs clearance fees, and any other charges levied by authorities in the destination country. We provide export documentation (commercial invoices, packing lists, certificates of origin) to facilitate your customs clearance process.

4.5. You must inspect all Products upon delivery and report any visible damage, shortage, or discrepancy to us and the carrier in writing within 48 hours of receipt. Failure to report within this timeframe may limit your ability to claim.

5. Returns & Refunds

5.1. We accept returns or issue credit only for Products that are damaged during transit, defective, or materially different from what was ordered. You must notify us within 48 hours of delivery, providing photographic evidence and a written description of the issue.

5.2. For perishable goods, claims must be made within 24 hours of receipt. We require photographic evidence showing the condition of the Products and packaging upon delivery.

5.3. We do not accept returns for Products that have been opened, tampered with, stored improperly after delivery, or returned due to change of mind, buyer's remorse, or incorrect ordering.

5.4. Upon approval of a valid claim, we will, at our discretion, either replace the affected Products at no additional cost, issue a credit note for future orders, or provide a refund to the original payment method. Refunds will be processed within 14 business days of claim approval.

5.5. Return shipping costs for approved claims will be borne by us. We will arrange collection or provide a prepaid shipping label. Unauthorized returns shipped without prior approval will not be accepted.

6. Product Quality & Warranty

6.1. All Products are sourced from authorized manufacturers and distributors. We warrant that Products are authentic, conform to their published specifications, and have a minimum of 70% remaining shelf life at the time of dispatch from our facility.

6.2. Our quality assurance processes are ISO 9001 certified and HACCP compliant. However, we make no representations or warranties beyond those expressly stated in these Terms.

6.3. Product images, descriptions, and specifications on our website are provided for reference purposes and may vary slightly from the actual Products due to manufacturer updates, packaging redesigns, or regional variations.

7. Intellectual Property

7.1. All content on our website, including text, images, logos, graphics, and software, is the property of Prime & Global B.V. or its licensors and is protected by applicable intellectual property laws.

7.2. Product names, brand names, and trademarks displayed on our website are the property of their respective owners. Their inclusion on our website does not grant you any license or right to use them.

8. Limitation of Liability

8.1. To the maximum extent permitted by applicable law, our total aggregate liability arising out of or in connection with these Terms, any Order, or the use of our Services shall not exceed the total amount paid by you for the specific Order giving rise to the claim.

8.2. We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of revenue, loss of business opportunities, or loss of data, whether arising from contract, tort, negligence, or otherwise.

8.3. Nothing in these Terms shall exclude or limit our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded by law.

9. Force Majeure

We shall not be liable for any failure or delay in performing our obligations where such failure or delay results from circumstances beyond our reasonable control, including but not limited to natural disasters, pandemics, epidemics, war, terrorism, civil unrest, government actions, sanctions, embargoes, strikes, labor disputes, port closures, supply chain disruptions, carrier failures, or failures of utility services. In such events, our obligations shall be suspended for the duration of the force majeure event.

10. Governing Law & Jurisdiction

10.1. These Terms & Conditions shall be governed by and construed in accordance with the laws of the Netherlands, without regard to its conflict of law provisions.

10.2. Any disputes arising out of or in connection with these Terms shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved within 30 days, it shall be submitted to the exclusive jurisdiction of the courts of Amsterdam, Netherlands.

10.3. The United Nations Convention on Contracts for the International Sale of Goods (CISG) shall not apply to any transactions under these Terms.

11. Amendments

We reserve the right to modify these Terms & Conditions at any time. Changes will be posted on this page with an updated "Last updated" date. Continued use of our Services after any such changes constitutes your acceptance of the revised Terms. For material changes that may affect your existing orders or account, we will provide reasonable notice via email.
